The Board of Directors of Simon Property Group, Inc., a Delaware corporation (the "Company") is elected by stockholders to oversee the management and affairs of the Company. The Board of Directors shall govern the affairs of the Company making business judgments and decisions on an informed basis in what they reasonably believe to be in the best interests of the Company and its stakeholders, including its stockholders, employees, tenants and customers.
